You agree to use Niles only in compliance with applicable laws and these Terms. You must not:

• Reverse engineer, decompile, or attempt to extract source code;
• Interfere with or disrupt the Services or related systems;
• Upload, transmit, or generate content that is unlawful, harmful, or violates the rights of others;
• Use the Services to develop malicious or harmful software.

Niles uses artificial intelligence to generate applications, code, and related content. You acknowledge and agree that:

• AI-generated outputs may contain inaccuracies, errors, or unintended results.
• You are solely responsible for reviewing, testing, and validating any AI-generated output before use or deployment.
• Niles provides outputs "as is" without warranties of accuracy, fitness for purpose, or compliance with third-party rights.
• You bear all responsibility for the applications you deploy using Niles.

Our Rights: All rights, title, and interest in Niles, including trademarks, logos, software, and related technology, remain with us and our licensors.

Your Rights: You retain ownership of content you upload or provide. By using the Services, you grant us a worldwide, non-exclusive, royalty-free license to use, store, and process such content solely to provide and improve the Services.

Generated Code: Subject to these Terms and payment of applicable fees, you own the rights to code or applications generated for you through Niles, except for any pre-existing libraries, third-party dependencies, or open-source components.

Certain Services may require a paid subscription. You agree to pay all fees and taxes associated with your use of the Services. Subscription fees are non-refundable except as required by law.

Your use of Niles is also governed by our Privacy Policy. By using the Services, you consent to the collection, use, and processing of your information as described therein.

The Services are provided "as is" and "as available" without warranties of any kind, whether express or implied, including merchantability, fitness for a particular purpose, or non-infringement.

We do not guarantee uninterrupted access, error-free performance, or that generated outputs will meet your requirements.

To the fullest extent permitted by law:

• We will not be liable for any indirect, incidental, consequential, or punitive damages, including loss of profits, data, or goodwill.
• Our total liability for any claim arising out of or related to the Services shall not exceed the greater of: (a) the amount you paid for the Services in the last three months, or (b) USD $100.

You agree to indemnify and hold harmless Niles, its officers, employees, and affiliates from and against any claims, damages, or liabilities arising from:

• Your use of the Services,
• Your content or generated outputs,
• Your violation of these Terms or applicable law.

We may suspend or terminate your access to the Services at any time, with or without cause or notice, including if you violate these Terms. Upon termination, your right to use the Services ceases immediately.

We may update these Terms from time to time. Changes will be effective upon posting. Your continued use of Niles after changes become effective constitutes your acceptance of the revised Terms.

These Terms are governed by and construed under the laws of Ohio, without regard to conflict of law principles.

Any disputes shall be resolved through binding arbitration under the rules of Cuyahoga County Common Pleas Court – Dispute Resolution Department, except that either party may seek injunctive relief in a court of competent jurisdiction.
